Little Blue Bylaws

Bylaws are the foundation of any nonprofit - they outline how decisions are made, who holds authority, and how the organization stays accountable to its mission.
At Little Blue Theatre Company, our bylaws are more than a legal requirement - they reflect our values of inclusion, transparency, and ethical leadership. They are the backbone of how we work, create, and collaborate with our community.
Little Blue is a tiny company now, but we wanted the foundation of our organization to be built with these principles because one day... we might not be!

We treat our bylaws as a guiding framework, ensuring they actively support the kids, families, and communities we serve. Our bylaws are alive. Intentional. 
Here are a few things that make Little Blue’s bylaws stand out:

Art + Inclusion = Governance

At least 51% of our Board must be made up of people from historically marginalized communities. Not as a hope. Not as an aspiration.
As a requirement.

Because leadership should reflect the world our young people actually live in.

Staff — They Get a Vote

Every staff member with “Director” in their title is a voting member of the Board.
That means artistic, educational, and community-facing decisions always include the people who do the work.

Transparency isn’t a bonus here. It’s built in.

No "Harmful" Money Sources

We apply values‑aligned screening to all funding sources and do not accept contributions from industries whose products or practices are inconsistent with our mission or harm communities we serve.

If it doesn’t align with our mission, we simply say “no.”

Leadership Roles Must Be Public, Open, and Fair

If it’s a director-level job, it gets posted. If any position at the Producing level opens up, full-time staff sit on the search committee.

This community-centered process reflects our commitment to transparency, collaboration, and thoughtful leadership succession.

A DEI Officer… Actually Built Into Governance

Not a task force.
Not a temporary initiative.

A required lead officer role that helps ensure our values shape every decision - from programming to partnerships to hiring.

Neuro-Affirming, Accessible, People-First Workplace Standards

Our bylaws spell out workplace values:
- Flexibility in communication and workflow
- Trauma-informed structures
- Psychological safety
- Anti-retaliation protections
- Real accommodations without a fight

Because the people making art for young people deserve care, too.

And yes… our bylaws are public on purpose.

Families, teaching artists, donors, community partners, curious humans - anyone can read them.
Because trust grows when we show people how we make decisions… not just the results.
